Terms of Service

Please read these Terms of Service ("Terms") carefully before using FirmFlow Automation software or services. By activating a license, subscribing, or using any FirmFlow product, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a law firm or other organization, you represent that you have authority to do so.

1. Definitions

  • "FirmFlow," "we," "us," or "our" means FirmFlow Automation, a California company.
  • "Software" means any FirmFlow desktop application, including FirmFlow PBO, made available under a valid subscription.
  • "Subscriber" or "you" means the law firm or individual that has entered into a subscription with FirmFlow.
  • "License Key" means the unique alphanumeric key issued by FirmFlow to activate the Software.
  • "Subscription" means a monthly or annual plan granting access to the Software as described on our Pricing page.

2. License Grant

Subject to your compliance with these Terms and timely payment of all applicable fees, FirmFlow grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software within your firm for your internal legal practice purposes.

This license permits use on computers operated by your firm's employees and authorized staff. You may not sublicense, resell, distribute, or make the Software available to any third party outside your firm.

3. Subscription and Payment

3.1 Fees

Subscription fees are as listed on our Pricing page at the time of your enrollment. All fees are stated in US Dollars and are exclusive of applicable taxes, which you are responsible for paying.

3.2 Billing Cycle

Subscriptions are billed monthly in advance. Your first billing date is the date your license key is issued. Subsequent charges occur on the same calendar day each month.

3.3 Cancellation

You may cancel your subscription at any time by contacting us at hello@firmflowautomation.com. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months, except at FirmFlow's sole discretion.

3.4 Non-Payment

If payment fails and is not resolved within 7 days, FirmFlow may suspend or terminate your license. Upon termination, the Software will cease to function beyond any applicable offline grace period.

4. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble the Software
  • Modify, adapt, or create derivative works of the Software
  • Use the Software for any unlawful purpose or in violation of any applicable court rules or professional responsibility obligations
  • Attempt to circumvent license validation or any security feature of the Software
  • Share your License Key with individuals or organizations outside your firm
  • Use the Software to generate forms for matters in which your firm does not represent a party

5. Updates and Modifications

FirmFlow may release updates to the Software at any time, including updates that modify the application's features, supported counties, or form sets. Updates are delivered automatically as part of your subscription. You agree to accept these updates. FirmFlow reserves the right to add, modify, or discontinue features with reasonable notice where practicable.

6. Intellectual Property

The Software, including all source code, form templates, UI elements, and related materials, is and remains the exclusive property of FirmFlow Automation. These Terms do not transfer any ownership rights to you. All rights not expressly granted herein are reserved.

Court forms incorporated into the Software are reproduced from publicly available sources. FirmFlow makes no claim of ownership over the underlying court-published form content.

7. Data and Privacy

FirmFlow PBO processes all case intake data locally on your machine. We do not receive, store, or transmit your clients' personal information or case data. Your use of the Software is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are solely responsible for the security of the computers on which the Software is installed and for compliance with any professional obligations regarding the confidentiality of client information.

8. Accuracy of Generated Forms

FirmFlow PBO is designed to generate court forms that conform to current requirements for supported counties. However, you are responsible for reviewing all generated forms before filing. Court requirements change, and while we update the Software promptly, FirmFlow does not warrant that any generated form will be accepted by any specific court or clerk at any specific time.

Nothing in the Software constitutes legal advice. The Software is a productivity tool for licensed attorneys and their staff — it does not replace professional legal judgment.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." FIRMFLOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FIRMFLOW DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIRMFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FIRMFLOW'S TOTAL LIABILITY TO YOU EXCEED THE TOTAL SUBSCRIPTION FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless FirmFlow Automation and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Software, your violation of these Terms, or your violation of any applicable law or professional obligation.

12. Term and Termination

These Terms remain in effect for as long as you maintain an active subscription. Either party may terminate at any time, subject to Section 3.3 regarding cancellation. FirmFlow may terminate immediately if you breach any material provision of these Terms. Upon termination, your license to use the Software ends and you must cease all use.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

FirmFlow may update these Terms from time to time. We will notify active subscribers of material changes by email at least 14 days before the changes take effect. Your continued use of the Software after the effective date of updated Terms constitutes acceptance of those Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy and any order confirmation or subscription agreement issued by FirmFlow, constitute the entire agreement between you and FirmFlow regarding the Software and supersede all prior understandings.
